ABOUT THE DEAL
The acquired company operates a building supply and lumber yard, designs, constructs, and sells ready-to-move homes, and has roof and floor truss, sheet metal, and cabinet manufacturing, and renovations divisions.
Gavin was part of the leadership team that created and led the syndicate that completed the acquisition. He led diligence and analysis and wrote the memorandum for the syndicate, both selling and buying into the deal. The acquisition was a true management buy-out, partnering with the existing, internal management to acquire the company from the founder, owner, and operator (who retired shortly after completion). The transaction included vendor financing, an earn-out, and external borrowing, and mechanisms to manage liquidity for employee shareholders should they wish to leave.
