ABOUT THE DEAL

This deal was a convertible note investment from Senetas, a listed public company in Australia, into Votiro of Israel.  Votiro is a cybersecurity company that at the time of investment specialized in content disarm and reconstruction.  It now has an expanded platform to remove all possible malware and privacy risks from files whether they are known or not.

The deal required extensive negotiations that included amendments to the Constitution and Shareholders’ Agreement, loan and security agreements, and nominee structures for existing shareholders.  Everything from conversion mechanics, Board composition, to drag-along and tag-along on exit were meticulously scrutinized.
